Terms of Service
Last updated [Effective date]
These terms are an agreement between you (and the organization you act for) and [Company legal name] ("we", "us"), which operates Averium Route. By creating an account or using the API you agree to them.
1.The service
Averium Route is an API gateway. It gives you one OpenAI-compatible endpoint in front of large language models run by third-party providers (the "providers"), and adds spend controls: a prepaid wallet, budgets and key limits, usage metering and reporting. We resell access to the providers' models; we do not train or run the models ourselves.
The models, providers and prices on offer change over time. We may add, change or retire models, features and endpoints. When a change removes something you rely on, we give reasonable notice where we can.
2.Accounts, organizations and keys
You must be at least 18 and able to enter a contract to create an account. Give us accurate details, including an email address you control; some features, such as the trial credit, stay locked until you verify it.
Credits, keys, budgets and spend belong to an organization. The person who creates an organization is its owner and is responsible for the people they invite and for the roles they grant.
API keys are credentials. Keep them secret, store them safely and revoke any key you believe is exposed. You are responsible for all requests made with your keys until you revoke them.
3.Prepaid credits
The service is prepaid. You buy credits in US dollars; each request is debited from your organization's wallet at the price shown in the model catalog when the request is made. A processing fee, when one applies, is shown before you pay.
- Credits are a prepayment for the service. They are not money, earn no interest and cannot be transferred between organizations or sold.
- Purchased credits do not expire while your account is active. Credits on an account closed or inactive for [inactivity period] may expire after notice to your email address.
- Trial and promotional credits are a courtesy. They have no cash value, can carry their own conditions (such as email verification), may expire, and may be removed if they were obtained by abuse, such as creating several accounts.
- Prices exclude taxes unless stated. You pay any taxes that apply to your purchase.
4.Refunds
You can ask for a refund of purchased credits you have not used within [refund window, e.g. 30 days] of the purchase by writing to [Contact email]. We refund to the original payment method, less any processing fee that is not returned to us. Spent credits, trial and promotional credits are not refundable.
When you close your account, we refund the unused purchased balance on request, unless we closed it for a breach of these terms or for fraud. A chargeback suspends the organization until it is resolved.
5.Pricing and billing accuracy
Every request is priced from the token usage the provider reports, at the price version in effect when the request was made, and recorded in a double-entry ledger you can see in the app. When a provider does not report usage, we estimate it and mark the request as estimated.
We work to make every charge exact to the micro-dollar, but errors can happen. If you believe a charge is wrong, tell us within [dispute window, e.g. 60 days] with the request id. We investigate and correct confirmed errors with a ledger adjustment. Our ledger is the record of your balance unless shown to be wrong.
Budgets and key limits stop requests before the provider is called, and changes apply within seconds. A request already in flight, or a streamed answer, can finish after a limit is reached, so spend can exceed a limit by the cost of those requests.
6.Acceptable use
The usage policies of the provider that serves a request apply to it in addition to these terms. By sending a request to a model you agree to follow that provider's policies. You must not use the service to:
- break the law, or infringe anyone's rights, including privacy and intellectual property;
- create or spread content that sexualizes minors, promotes violence or terrorism, or harasses people;
- develop malware, attack systems, or attempt to gain access you are not entitled to;
- attack, overload, probe or reverse engineer the service, or get around its limits, budgets, metering or security;
- create multiple accounts to collect trial credits, or share and resell keys outside your organization without our written permission;
- make automated decisions with legal or similarly significant effects on people without human review and the safeguards the law requires.
We may refuse, rate-limit or block requests, and suspend keys or organizations, to stop abuse or when a provider requires it.
7.Your content and data
You keep the rights to what you send (prompts, files) and, as between you and us, to what the models return. You are responsible for having the right to send your content and for how you use the output. Model output can be wrong; check it before relying on it.
We do not store the content of prompts or responses. Requests pass through our servers to the provider and back; we keep only metadata such as time, key, model, token counts, cost, status and request id. Chat conversations are saved only in your browser.
Providers receive the content of your requests in order to answer them and may retain it under their own policies, for example for abuse monitoring. The Privacy Policy explains what we collect and why.
8.Third-party providers
Providers run the models independently. We are not responsible for their outputs, their availability, or changes they make to models or prices. When a provider is unavailable a request may fail or, where you choose automatic routing, be served by another model; the price shown for the request is the one you pay.
9.Suspension and termination
You can stop using the service and close your account at any time. We may suspend or close an account, an organization or a key if you breach these terms, if payment fails or is reversed, if we suspect fraud or abuse, or if the law or a provider requires it. Where it is reasonable, we tell you first and give you a chance to fix the problem.
On closure, sections that by their nature should survive (credits and refunds, billing accuracy, liability, governing law) continue to apply.
10.Disclaimers
The service is provided "as is" and "as available". To the extent the law allows, we disclaim all warranties, express or implied, including fitness for a particular purpose and that the service or any model output will be accurate, uninterrupted or error-free.
11.Limitation of liability
To the extent the law allows, neither party is liable for indirect, incidental, special or consequential damages, or for lost profits, revenue or data. Our total liability for all claims relating to the service is limited to the amount you paid us in the 12 months before the event giving rise to the claim.
These limits do not apply to liability that cannot be limited by law, such as for fraud or for death or personal injury caused by negligence.
12.Changes to these terms
We may update these terms. For material changes we give at least 30 days' notice by email or in the app before they take effect. Continuing to use the service after that means you accept the new terms; if you don't, close your account and ask for a refund of unused purchased credits.
13.Governing law and disputes
These terms are governed by the laws of [Jurisdiction], without regard to conflict-of-law rules. The courts of [Jurisdiction] have exclusive jurisdiction, except where consumer protection law gives you the right to bring a claim where you live.
14.Contact
